Terms of Service

VirtoSoftware Products are licensed, not sold. The agreement that applies depends on the deployment model and your order, quote, or subscription record (an “Order”). The applicable End User License Agreement (“EULA”) linked below is the governing license document. This page is an index and does not replace the EULA.

1. Applicable license agreement

Microsoft 365, SharePoint Online, and Microsoft Teams

Cloud Products are governed by the EULA for Microsoft 365 and Teams. It provides a non-exclusive, non-transferable, non-sublicensable license for the Subscription Term and licensed scope stated in the Order.

On-Premises (SharePoint Server)

Products installed within your own infrastructure are governed by the EULA for On-Premises Products. It provides a perpetual license; maintenance, support, and updates are provided during the Maintenance Term stated in the Order.

2. Privacy and data processing

For Cloud Products, the Data Processing Agreement (DPA) available through the Trust & Security Center in effect as of the Order date is incorporated into the Cloud EULA. It governs personal data within Customer Data for which VirtoSoftware acts as processor and the Customer acts as controller.

The Privacy Policy applies to personal data for which VirtoSoftware acts as controller, including account and telemetry data. The Policy was last updated July 10, 2026 and includes specific Google User Data terms for Google Calendar data sources connected to Virto Calendar.

Virto Shared Calendar uses a different storage architecture from the zero-access Cloud Products. Its processing of personal data is governed by a separate product-specific DPA addendum, and the general zero-access statements in the Cloud EULA do not apply to that Product.

3. Order of precedence

For Cloud Products, conflicts are resolved in this order: (1) the Order; (2) for data-protection matters, the DPA; (3) the Cloud EULA. For On-Premises Products, the Order prevails over the On-Premises EULA.
